We make reasonable efforts to ensure that the descriptions of our services on the website are accurate. However we do not warrant that descriptions or other content on the website are complete reliable current or error-free. The scope deliverables timelines and pricing for each engagement are governed by the terms of a separate written service agreement between the client and the Company and these general terms are subject to the specific provisions of any such executed agreement.

Changes to our service catalog will be reflected on the website and will not affect any service agreements already in progress unless both parties mutually agree to such modifications in writing. 7. Payment Terms and Fees

Pricing for our professional services is determined on a per-engagement basis and is set forth in individual service agreements or statements of work executed between the client and the Company. Fees may be structured as fixed-price engagements hourly or daily rate arrangements retainer-based services or a combination of these models as mutually agreed upon by the parties. All fees are stated in United States dollars unless otherwise specified in the applicable service agreement.

Payment terms including invoicing schedules due dates acceptable payment methods and late payment consequences are specified in each service agreement. Unless otherwise agreed in writing invoices are payable within 30 calendar days from the invoice date. The Company reserves the right to charge interest on overdue amounts at the rate of 1.5 percent per month or the maximum rate permitted by applicable law whichever is lower. The client is responsible for all costs of collection including reasonable legal fees incurred by the Company in collecting any overdue amounts.

Clients are responsible for all taxes duties and other governmental charges associated with the services provided including any applicable sales use value-added or withholding taxes unless the client provides us with a valid tax exemption certificate. If the Company is required to pay any such taxes on behalf of the client the client shall reimburse the Company for such amounts upon demand. All fees are non-refundable unless otherwise explicitly stated in the applicable service agreement or required by applicable law.

8. Confidentiality and Data Protection

During the course of our engagement we may receive or have access to information that is confidential or proprietary in nature including technical data business plans financial information customer lists research results and other non-public information pertaining to your business operations. We agree to maintain the confidentiality of such information and to use it only for the purpose of providing the contracted services. This obligation continues after the termination of our engagement for so long as the information remains confidential.

Confidential information does not include information that is or becomes publicly available through no breach of these terms by the receiving party was already in the possession of the receiving party without confidentiality restrictions at the time of disclosure is independently developed by the receiving party without use of the disclosing confidential information or is rightfully obtained by the receiving party from a third party without breach of any confidentiality obligation.

The total aggregate liability of the Company for any claims arising out of or relating to these terms or the use of the website or services whether in contract tort including negligence strict liability or otherwise shall not exceed the greater of the total fees paid by you to the Company during the 12 months immediately preceding the event giving rise to the claim or 100 United States dollars if you have not paid any fees to the Company. You agree to defend indemnify and hold harmless Zhijiang Zhihuze Trading Co., Ltd. and its parent subsidiaries affiliates officers directors employees agents partners and licensors from and against any and all claims damages obligations losses liabilities costs or debt and expenses including reasonable legal fees arising from your use of and access to the website or our services your violation of any term of these terms your violation of any third-party right including without limitation any copyright intellectual property or privacy right or any claim that your content caused damage to a third party.

This indemnification obligation will survive the termination or expiration of these terms and your use of the website or services. The arbitration shall take place in Yichang Hubei Province China and shall be conducted in English unless the parties agree otherwise.

The arbitration award shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and legal fees in connection with the arbitration unless the arbitral tribunal determines otherwise. Notwithstanding the foregoing either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information pending the outcome of arbitration. The parties agree that any claim or cause of action arising out of or related to these terms or the use of the website must be filed within one year after such claim or cause of action arose or be forever barred.

14. Changes to These Terms

We reserve the right at our sole discretion to modify or replace these terms at any time.
